Flamsal Holdings LLC was formed on February 28, 2024, in accordance with the Mississippi Code of 1972 Annotated, Title 79, Chapter 29, cited as the “Revised Mississippi Limited Liability Company Act.” (See Miss. Code Ann. Title 79, Ch. 29)
Flamsal Holdings LLC’s Certificate of Formation is the document filed with the Mississippi Secretary of State that legally created the Company and states:
“State of Mississippi. Certificate of Formation. Acting under the authority vested in me as Secretary of State by the Constitution and Laws of this State, I do hereby certify the following has satisfied all conditions precedent for formation in this State. Flamsal Holdings LLC. Given this 28th day of February, Two Thousand and Twenty-Four, in the Capitol City of Jackson, Mississippi under my Hand and Seal. Signed by Michael Watson.”
The Operating Agreement
In addition to the Company’s Certificate of Formation, the Company also has an Operating Agreement. This document sets forth who owns the Company and how the Company is run. It is similar to bylaws for a corporation.
