We are committed to operating our businesses with the utmost integrity, adopting governance policies that promote the thoughtful representation of our Member interests.
The Board has adoptedGovernance Guidelines, which set forth a flexible framework within which the Board, assisted by its committees, directs the affairs of the Company. TheGovernance Guidelines address, among other things, the composition and functions of the Board, compensation of Managers, management succession and review, Board leadership, Board committees and selection of new Managers.
The Company has Standards of Business Conduct, which are applicable to all employees of the Company, including the principal executive officer, the principal financial officer and the principal accounting officer. The Board has a separate Code of Business Conduct and Ethics for Managers, which contains provisions specifically applicable to Managers.
Each standing committee of the Board is governed by a charter (see below) adopted by the Board.
Our tax strategy supports our commitment to high standards of company governance, transparency, and responsibility in supporting the execution of our business strategy. Our tax strategy, and its underlying principles, applies to all controlled subsidiaries of Flamsal Holdings LLC and guides the decisions we make relating to company tax matters. We operate with a zero-tolerance approach to tax evasion’s and the facilitation of tax evasion.
Audit Committee: The Audit Committee assists the Board of Managers in its oversight of the integrity of the Company’s financial statements, compliance with legal and regulatory requirements, the qualifications and independence of independent auditors, and the performance of independent auditors and the internal audit function.
Compensation Committee: The Compensation Committee reviews and approves company goals and objectives relevant to the compensation of the Company’s Chief Executive Officer, evaluates the performance of the Chief Executive Officer in light of those goals and objectives, and determines and approves the compensation level for the Chief Executive Officer based upon this evaluation.
Governance and Nominating Committee: The Governance and Nominating Committee monitors the implementation and operation of the Company’s Governance Guidelines, reviews from time to time the adequacy of the Governance Guidelines in light of broadly accepted practices of company governance, emerging governance issues and market and regulatory expectations, and advises and make recommendations to the Board with respect to appropriate modifications. They also identify, review and evaluate candidates for election as Manager who meet the standards set forth in the Governance Guidelines.
The Governance and Nominating Committee of the Board has approved a process for handling letters received by the Company.
Under that process, the Secretary of the Company reviews all such correspondence and regularly forwards to the Board a summary of all such correspondence and copies of all correspondence that, in the opinion of the Company Secretary, deals with the functions of the Board or committees thereof or that he or she otherwise determines requires their attention. Managers may at any time review a log of all correspondence received by the Company that is addressed to members of the Board and request copies of any such correspondence.
Concerns relating to accounting, internal controls or auditing matters are immediately brought to the attention of the Company’s internal audit department and handled in accordance with procedures established by the Audit Committee with respect to such matters.
Flamsal Employee Policy Manual
The policies in the Flamsal Employee Policy Manual apply to all employees of Flamsal Holdings LLC and its subsidiary and affiliated companies. All employees of the Company are expected to have reviewed this Manual, to be familiar with its contents, and to conduct themselves consistently with the principles expressed. Failure to do so may result in disciplinary action. The Company may amend, supplement, or rescind any policy or provision in the Manual as the Company deems appropriate. If the meaning or application of a policy is unclear, employees should contact Human Resources. Within the Manual are references and/or links to additional information, including Company-wide rules, such as the Standards of Business Conduct, and guidelines and practices that apply to certain employees based on their location and/or business segment. As with this Manual, Employees are expected to read and be familiar with the Standards of Business Conduct and these other work rules.
